1. Acceptance and business use
By creating an account, approving a syllabus, purchasing a package, buying production credits, redeeming a voucher or credit, purchasing an upgrade or Rev generation, or otherwise using Courseware Studio, you agree to these Terms and the policies incorporated by reference, including the Course Generation and Remediation Policy and Privacy Policy.
You must be at least 18 years old. Courseware Studio is designed primarily for business, professional, training, publishing, consulting, educational, and organizational use. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Service description and approved project scope
Courseware Studio is an AI-assisted custom courseware generation platform operated by Software Tutorial Services LLC. It generates courseware from the syllabus, course settings, instructions, source materials, package selection, and other project inputs you provide and approve.
Draft and approved syllabi generated before purchase may be downloaded and shared with prospective customers for course evaluation, proposals, and scoping. Optional proposal-ready details—such as customer name, proposal date, requested delivery date, delivery format, audience size, or assumptions—are supplemental proposal information only. They are stored separately from the approved course settings and are not included in the final production syllabus or generated course materials.
An unapproved syllabus remains available for 14 days after generation and is then permanently deleted. Approval starts a fresh 14-day availability period. During an active approved period, you may use the project page to extend availability for another 14 days. Courseware Studio will attempt to send an email reminder approximately two days before the current syllabus expiration, but you remain responsible for monitoring the displayed expiration date. Expired syllabus projects may be permanently deleted without further notice.
The approved syllabus and approved project settings are the controlling course contract. Material changes requested after approval—including changes to scope, audience, objectives, duration, modules, products, platforms, software versions, or client requirements—may require use of the Courseware Editor, a Rev generation, an upgrade, a new project, or a separately quoted service.
AI output may contain errors, omissions, or imperfect wording. You are responsible for qualified subject matter expert review, factual verification, editorial review, accessibility review, legal and regulatory review, and validation before using generated content with learners, clients, or the public.
3. Purchases, immediate performance, and final sale
All self-service purchases are one-time payments processed by Stripe unless a written agreement states otherwise. Prices are displayed in U.S. dollars, and applicable taxes may be added.
Courseware Studio provides a custom digital generation service. By completing checkout or redeeming an approved voucher or production credit, you expressly authorize Courseware Studio to begin performance immediately. Performance begins when the platform starts the purchased course generation, package upgrade, or paid Rev generation.
Purchases and credit redemptions become final and nonrefundable once generation begins, except where a refund is required by applicable law or Courseware Studio cannot provide the purchased service after reasonable remediation. The complete remedy terms are stated in the Course Generation and Remediation Policy.
4. Courseware Editor and Rev deliverables
Every paid Core LMS, Instructor-Led, and Courseware Publisher project includes access to the Courseware Editor during the active 14-day project window. Customers may revise course content before generating and downloading revised deliverables. The original audited deliverables remain preserved.
- Core LMS includes 1 Rev generation.
- Instructor-Led includes 2 Rev generations.
- Courseware Publisher includes 3 Rev generations.
- Additional Rev generations are separate purchases priced per class day.
Rev deliverables are generated from customer-edited content, are labeled separately, and may bypass the original content audit or SME Technical Review as disclosed in the workflow. You are responsible for the accuracy, legality, and suitability of your edits. Dissatisfaction with customer-created or customer-approved edits is not a platform defect.
5. Vouchers, production credits, referrals, and partner purchases
- Vouchers and production credits have no cash value, are non-transferable unless expressly authorized, and expire as stated when issued.
- Production-credit purchases are final once issued, except where required by law or a written agreement expressly states otherwise.
- A verified platform failure affecting a voucher- or credit-funded project is normally remedied by repair, rerun, replacement, or restoration of the consumed entitlement.
- The production-credit purchaser owns the contractual payment remedy. A voucher recipient who did not pay Courseware Studio directly is not entitled to a cash refund from Courseware Studio.
- Referral compensation is calculated from net collected and retained revenue and may be reversed or offset for refunds, chargebacks, fraud, payment reversals, taxes, or other adjustments.
- A reseller or partner is responsible for its own end-client pricing, statements, promises, refunds, and first-line commercial relationship unless a signed Courseware Studio agreement states otherwise.
6. Ownership and generated courseware rights
You retain ownership of original materials you provide, including briefs, manuscripts, outlines, internal documents, approved instructions, and other customer content. By submitting content, you grant Software Tutorial Services LLC a limited right to process, store, transmit to approved providers, and transform it only as needed to provide and maintain the service.
Courseware Studio retains ownership of its platform, software, templates, trademarks, branding, system designs, workflows, and underlying technology.
- Paid packages: Core LMS, Instructor-Led, Courseware Publisher, and approved written-agreement purchases include broad commercial rights to use, copy, modify where editing is provided, teach, deliver, publish, sell, distribute, and reuse the generated courseware through your own channels.
- Package differences: Package selection determines deliverables, editing and Rev allowances, source formats, branding treatment, production features, and support—not whether paid output may be used commercially.
- Courseware Publisher: Publisher adds white-label output, selectable client branding controls, editable Word source, and advanced production features. It is not the only paid package that permits commercial use.
- Free Trial: Generated free-trial course output is for evaluation and internal review only. Pre-production syllabi may be shared for course evaluation, proposals, and scoping as described above. Commercial use of generated course deliverables and Rev generation require a paid purchase, upgrade, or written permission.
- Copyright: Commercial rights are not a representation that AI-generated output is automatically copyrightable or registrable. Eligibility may depend on original source material, human editing, selection, arrangement, and applicable law.
7. Customer responsibilities and acceptable use
You are responsible for ensuring that you own or have permission to use all submitted source material, URLs, files, prompts, edited content, and client-provided information.
You may not use Courseware Studio to generate or distribute content that:
- Violates applicable law or regulation.
- Infringes intellectual property, privacy, publicity, confidentiality, or contractual rights.
- Is defamatory, fraudulent, deceptive, harassing, or malicious.
- Misrepresents credentials, certification status, official sponsorship, authorization, or endorsement.
- Attempts to bypass platform security, licensing, payment, entitlement, or access controls.
8. Local Environment Setup Packages
Setup requirements may be saved during course setup, but a setup ZIP is not included automatically in Core LMS, Instructor-Led, or Courseware Publisher checkout. Setup-package generation requires a separate quote, voucher, Private Client Catalog agreement, production-credit agreement, or other written authorization.
Before accessing a setup workflow, you must acknowledge: I understand that I am responsible for all software licensing, activation, subscriptions, usage rights, and compliance with vendor license terms for any software used in this setup package. Courseware Studio may provide local setup guidance, scripts, and validation checks, but it does not provide software licenses or cloud deployment rights.
- You are solely responsible for software licensing, activation, subscriptions, usage rights, and vendor compliance.
- Setup materials must not be used to bypass licensing, authentication, subscriptions, entitlements, or vendor restrictions.
- Setup packages are local-only unless a written agreement expressly includes hosted or cloud services.
- You must test setup materials in a non-production environment before live classroom use.
9. Availability, third-party services, and force majeure
Courseware Studio depends on third-party cloud, AI, payment, email, storage, rendering, and infrastructure providers. We do not guarantee uninterrupted or error-free availability. We are not responsible for delay or failure caused by events beyond our reasonable control, but verified incomplete generation remains subject to the remediation process described in the Course Generation and Remediation Policy.
10. Warranty disclaimer
To the maximum extent permitted by law, the platform and generated output are provided “as is” and “as available.” Software Tutorial Services LLC disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, and uninterrupted availability. This disclaimer does not eliminate an express obligation stated in a signed written agreement or a right that cannot legally be waived.
11. Limitation of liability
To the maximum extent permitted by law, Software Tutorial Services LLC is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost revenue, lost business opportunities, or losses arising from errors, omissions, customer edits, downstream use, third-party systems, or failure to perform required review.
Our aggregate liability for claims related to a specific project or transaction will not exceed the amount paid directly to Courseware Studio for that project or transaction, except where a different limitation is required by law.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Software Tutorial Services LLC from third-party claims, losses, liabilities, and reasonable costs arising from your submitted materials, your edits, your downstream use or distribution of generated courseware, your violation of these Terms, or your infringement of another party's rights.
13. Suspension and termination
We may suspend or terminate access for nonpayment, fraud, abuse, security risk, unlawful conduct, violation of these Terms, or conduct that threatens the platform or other users. Termination does not eliminate accrued payment obligations, usage restrictions, intellectual-property obligations, or provisions intended to survive.
14. Authorized resellers and third-party representatives
Only parties holding a current written reseller or partner agreement signed by Software Tutorial Services LLC may represent that they sell Courseware Studio services or act on behalf of Courseware Studio. This does not restrict paid customers from selling or distributing generated courseware under the commercial rights granted above.
Unauthorized third-party representations, warranties, discounts, refund promises, delivery dates, or feature commitments are not binding on Software Tutorial Services LLC.
No third party may use the Courseware Studio name, logo, CourseRemaster™ trademark, or Software Tutorial Services LLC identity as an endorsement or official partnership without prior written permission.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Subject to any non-waivable right, disputes must be brought in a court of competent jurisdiction located in Orange County, Florida, and the parties consent to that jurisdiction and venue.
16. General terms and order of precedence
- A signed enterprise, Private Client Catalog, reseller, partner, or other written agreement controls over these Terms only to the extent of an express conflict.
- If any provision is unenforceable, the remaining provisions remain in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign your account or agreement without written permission; Software Tutorial Services LLC may assign these Terms in connection with a merger, sale, reorganization, or transfer of the service.
- These Terms and incorporated policies form the entire agreement for self-service use unless a signed written agreement states otherwise.
- Provisions concerning payment, ownership, restrictions, disclaimers, liability, indemnification, dispute resolution, and surviving rights remain effective after termination.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the platform, email, or another reasonable method. The Terms accepted for a completed purchase remain part of the transaction record; continued future use after revised Terms take effect constitutes acceptance of the revised Terms for future use.
